SaaS Subscription & Billing Policy

1. Introduction

This SaaS Subscription & Billing Policy (“Policy”) outlines the subscription structure, billing framework, activation process, payment terms, trial usage conditions, and operational billing practices applicable to software services provided within the KeynoBite ecosystem.

KeynoBite is a restaurant commerce and operational technology platform operated by Keynoverse FZC.

This Policy applies specifically to:

• SaaS subscriptions,
• operational platform modules,
• enterprise software services,
• onboarding plans,
• software licensing,
• and related platform access services provided directly by KeynoBite.

This Policy does not govern restaurant/vendor customer food transactions, which remain transactions directly between customers and the respective restaurant/vendor.

2. Nature of Services

KeynoBite provides:

• restaurant commerce infrastructure,
• operational management systems,
• ordering systems,
• QR ordering workflows,
• cloud POS tools,
• operational dashboards,
• merchant enablement systems,
• and related SaaS platform services.

Access to certain features or operational modules may require activation of paid subscription plans.

3. Subscription Plans

KeynoBite may offer:

• free trial plans,
• standard subscription plans,
• enterprise plans,
• onboarding packages,
• add-on modules,
• custom operational services,
• or feature-based access tiers.

Plan features, limitations, pricing, and operational availability may vary depending on:

• merchant category,
• operational requirements,
• subscription tier,
• integrations,
• or enterprise arrangements.

4. Trial Periods

Where free trial access is offered:

• trial periods are provided for evaluation purposes only,
• trial access expires automatically at the end of the applicable trial duration,
• and users are not automatically charged solely due to trial expiry.

To continue using paid platform services after the trial period, users must:

• manually select a paid subscription plan,
• proceed through the checkout process,
• and explicitly activate the subscription.

KeynoBite does not currently implement hidden, unauthorized, or negative-billing subscription models.

5. Subscription Activation

Paid subscriptions are activated only after:

• the customer or merchant explicitly selects a plan,
• applicable pricing is disclosed,
• and the user completes the required checkout/payment process.

Subscription activation remains customer-initiated.

Users remain responsible for reviewing:

• pricing,
• plan terms,
• billing frequency,
• operational features,
• and applicable fees

before completing activation.

6. Payment Processing

Where payment functionality is enabled:

• subscription payments are processed through licensed third-party payment service providers (PSPs),
• hosted payment environments may be operated directly by the PSP,
• and payment authorization occurs within secure PSP-managed infrastructure.

KeynoBite itself does not:

• directly store customer card information,
• operate settlement infrastructure,
• or custody customer payment credentials.

Applicable payment provider policies and banking procedures may separately apply.

7. Billing Structure

Subscription charges may include:

• monthly subscription fees,
• annual subscription fees,
• onboarding fees,
• operational module fees,
• enterprise licensing fees,
• integration fees,
• or optional service charges.

Applicable charges are disclosed prior to activation or purchase.

Taxes, VAT, or regulatory charges may apply where required by applicable law.

8. Subscription Renewals

At present:

• subscription renewals are manually initiated by the customer or merchant,
• automatic recurring charging functionality is not currently implemented,
• and customers are required to manually renew or reactivate subscriptions where applicable.

KeynoBite does not currently perform automatic recurring card charges without customer initiation.

9. Failed Payments

Where a subscription payment fails:

• access to certain features or operational services may be restricted,
• subscription activation may remain pending,
• or platform functionality may be suspended until successful payment completion.

KeynoBite reserves the right to:

• suspend inactive subscriptions,
• limit access,
• or disable operational modules

where payment obligations remain outstanding.

10. Cancellation of Subscriptions

Customers and merchants may discontinue platform usage subject to:

• applicable contractual obligations,
• enterprise agreements,
• onboarding commitments,
• or operational arrangements.

Cancellation of subscriptions may result in:

• suspension of platform access,
• loss of operational functionality,
• restricted merchant services,
• or removal of certain features.

Cancellation requests do not automatically guarantee refunds unless separately approved under the applicable Refunds & Cancellation Policy or contractual agreement.

11. Refunds

Refund eligibility relating to SaaS subscriptions, onboarding fees, enterprise services, or operational modules remains subject to:

• the applicable Refunds & Cancellation Policy,
• onboarding agreements,
• enterprise arrangements,
• or operational review.

Certain services including:

• completed onboarding work,
• implementation services,
• custom configurations,
• enterprise development,
• or consumed operational services

may be non-refundable.

12. Fraud Prevention & Billing Abuse

KeynoBite reserves the right to monitor for:

• fraudulent subscription activity,
• abusive refund behavior,
• unauthorized payment usage,
• operational manipulation,
• or misuse of promotional access.

Where suspicious activity is identified, KeynoBite may:

• suspend accounts,
• restrict access,
• request additional verification,
• or terminate platform services.

13. Modifications to Pricing & Services

KeynoBite reserves the right to:

• modify subscription pricing,
• update operational features,
• adjust service availability,
• discontinue plans,
• or revise platform offerings

where reasonably necessary.

Updated pricing or plan changes may be communicated through:

• platform notices,
• onboarding updates,
• dashboard notifications,
• or direct communications.

14. Limitation of Liability

To the maximum extent permitted by applicable law, KeynoBite shall not be liable for:

• business interruption,
• merchant operational losses,
• failed transactions,
• payment provider outages,
• indirect damages,
• or loss of operational data arising from subscription suspension or service interruptions.

Users remain responsible for evaluating platform suitability for their operational requirements.

15. Changes to This Policy

KeynoBite may update this Policy periodically to reflect:

• platform enhancements,
• billing model changes,
• operational improvements,
• legal requirements,
• or compliance developments.

Continued use of the platform constitutes acceptance of the revised Policy.
