1. Introduction
This Delivery Enablement & Fulfillment Policy (“Policy”) governs the operational delivery-related workflows made available through the KeynoBite platform.
KeynoBite is a restaurant commerce, ordering, and operational SaaS platform that provides technology infrastructure to restaurants, vendors, and food businesses.
KeynoBite itself does not operate as a logistics company, courier service, fleet operator, or delivery marketplace.
By using delivery-related features within the platform, restaurants, vendors, customers, and associated personnel acknowledge and agree to the terms outlined in this Policy.
2. Nature of the Platform
KeynoBite provides software tools and operational workflows which may enable restaurants/vendors to:
- manage orders,
- assign deliveries internally,
- coordinate delivery operations,
- track fulfillment status,
- manage rider workflows,
- and optimize operational processes.
These tools are provided strictly as technology infrastructure and operational enablement features.
KeynoBite does not itself:
- employ delivery riders,
- operate delivery fleets,
- provide transportation services,
- guarantee delivery fulfillment,
- or act as a logistics operator.
3. Independent Vendor Responsibility
Each restaurant/vendor using KeynoBite operates as an independent business entity and remains fully responsible for its own operational activities, including:
- order preparation,
- packaging,
- fulfillment,
- delivery coordination,
- customer service,
- delivery personnel management,
- and operational compliance.
Restaurants/vendors may choose to:
- use their own in-house riders/drivers,
- engage independent delivery personnel,
- utilize third-party logistics providers,
- or operate without delivery services entirely.
All delivery relationships remain solely between the restaurant/vendor and their respective delivery personnel or logistics providers.
4. No Employment Relationship
KeynoBite does not employ, manage, supervise, or control delivery personnel operating on behalf of restaurants/vendors.
Any rider, driver, courier, or logistics personnel associated with a vendor remain solely under the direction, management, and responsibility of the respective restaurant/vendor or logistics provider.
Nothing in this Policy creates:
- an employment relationship,
- agency relationship,
- partnership,
- joint venture,
- or contractor relationship
between KeynoBite and any delivery personnel.
5. Delivery Operations & Fulfillment
Restaurants/vendors are solely responsible for:
- delivery timelines,
- route management,
- food handling,
- transportation conditions,
- customer interaction,
- delivery quality,
- delivery safety,
- and fulfillment accuracy.
KeynoBite may provide operational tools such as:
- delivery status updates,
- dispatch workflows,
- rider assignment tools,
- tracking interfaces,
- notifications,
- and operational dashboards.
Such features are provided strictly as software functionality and do not constitute operational control over delivery activities.
6. Customer Orders & Delivery Liability
All customer orders placed through merchant-operated storefronts, ordering pages, QR systems, or integrated workflows remain transactions between the customer and the respective restaurant/vendor.
The respective restaurant/vendor remains solely responsible for:
- product quality,
- delivery execution,
- order accuracy,
- refunds relating to fulfillment,
- customer complaints,
- and delivery-related obligations.
KeynoBite does not assume liability for:
- delayed deliveries,
- failed deliveries,
- damaged products,
- delivery disputes,
- delivery personnel conduct,
- transportation incidents,
- or operational failures by vendors.
7. Payment Processing Clarification
KeynoBite does not process, hold, settle, intermediate, or custody delivery-related transaction funds on behalf of restaurants/vendors.
Where payment functionality is enabled:
- payment processing is handled directly through licensed payment service providers (PSPs),
- merchants/vendors maintain their own PSP relationship,
- merchants/vendors undergo their own KYC/compliance onboarding,
- and funds are settled directly from the PSP to the respective merchant/vendor.
KeynoBite acts solely as:
- SaaS platform provider,
- technology infrastructure provider,
- operational workflow layer,
- and integration facilitator.
8. Vendor Compliance Obligations
Restaurants/vendors are responsible for complying with all applicable laws and regulations relating to:
- food safety,
- transportation,
- labor requirements,
- rider management,
- insurance,
- licensing,
- tax obligations,
- and local operational compliance.
KeynoBite reserves the right to suspend or restrict platform access where operational misuse, fraud, unlawful conduct, or compliance concerns are identified.
9. Platform Availability
While KeynoBite aims to provide reliable operational infrastructure, uninterrupted availability of delivery-related platform features is not guaranteed.
KeynoBite may:
- update features,
- modify workflows,
- perform maintenance,
- suspend features,
- or improve operational systems
without prior notice where reasonably necessary.
10. Limitation of Liability
To the maximum extent permitted by applicable law, KeynoBite shall not be liable for:
- operational losses,
- delivery failures,
- rider conduct,
- customer disputes,
- indirect damages,
- business interruption,
- or third-party operational failures
arising from delivery activities conducted by restaurants/vendors or their associated personnel.
Restaurants/vendors acknowledge that they remain solely responsible for their own operational fulfillment activities.
11. Changes to This Policy
KeynoBite may update or revise this Policy from time to time.
Continued use of the platform following any updates constitutes acceptance of the revised Policy.
